Sacre-Coeur Minerals to Issue Convertible Notes and Updates Bond Amendments


Vancouver, British Columbia CANADA, October 18, 2013 /FSC/ – Sacre-Coeur Minerals Ltd. (SCM – TSX Venture, S5N – FWB), (the “Company”) today announced that it is arranging, subject to regulatory approval, a non-brokered private placement of unsecured subordinated convertible notes (the “Notes”). The first Note in the amount of $100,000 has been placed. Proceeds will be used to supplement working capital until closing of the previously announced $10 million royalty financing. Further, as previously announced, the Company is proposing to amend the terms of its Gold Participation Bond issue. Documents relating to this amendment are now finalized and being circulated to bondholders for approval. Under the proposed amendment being circulated, interest will now be paid on October 31, 2013, and the remaining ETF Units will be delivered over 13 quarters commencing with December 31, 2013 in exchange for a downward adjustment in conversion rate. Upon closing of the $10 million royalty financing, the Company intends to retire the Gold Participation Bonds by early delivery of the remaining ETF units purchased with a portion of the proceeds of the royalty financing.

The Notes will have a term of 36 months and bear interest at 12% per annum. The Notes and, subject to regulatory approval, any interest accrued thereon, will be convertible into common shares of the Company (the “Shares”) at the election of the Note holder. If the Notes have not been converted or repaid in full by maturity they will, subject to regulatory approval, be automatically converted into Shares. The Company will also grant the holders of the Notes warrants (the “Warrants”) to purchase up to an aggregate of 500,000 Shares, of which 250,000 Warrants will be exercisable for two years at an exercise price of $0.20 and 250,000 Warrants will be exercisable for three years at an exercise price of $0.30.
